What is a Texas registered agent and are you required to have one?
A Texas Registered Agent is a person or entity who is a legal resident of Texas that maintains a physical address in Texas and is open during normal business hours designated to accept service of process, legal documents, and any State or federal documents on behalf of the corporation. P.O. Boxes are not acceptable.
Texas requires all Corporations, Texas LLCs, foreign Texas corporations, limited liability partnerships, professional corporations, professional associations, etc. to choose a person or entity to act as their Texas registered agent.

Note: Failure to appoint or maintain a Texas registered agent and registered office may result in the corporation to fall out of “Active” status with the State of Texas, therefore causing an involuntary termination of the company or the revocation of a foreign filing entity’s registration to transact business in Texas. This will subject your license to do business within Texas to forfeiture, with monetary penalties assessed to reinstate your company to a “Active” status again.
Can I act as my own Texas registered agent?
You can, but here are a few reasons why it’s a bad idea: (1) you don’t have the flexibility to close your office or have flexible office hours since you must always be open to accept service of process during normal business hours (2) legal papers served by a Constable or Sheriff will be delivered to your address potentially in front of your friends, family, clients, neighbors, or even vendors (3) you will be exposing your name and address publicly on the Texas corporations database listing (4) it will be your soul responsibility to remember when your annual filing is due. If you miss the deadline, you will owe a late file penalty.
