You need to file a Certificate of Formation to incorporate your business in Texas. You file the Certificate of Formation with the Texas Secretary of State. There is a $300 filing fee required by the State. You can file this document online on the Texas Secretary of State’s website (SOSDirect). The appropriate steps to set up a corporation in Texas are:

  1. Choose a name for your Texas corporation
  2. Hire a registered agent service for privacy purposes or you can be your own (not advised)
  3. File a document called the Certificate of Formation (Form 201)
  4. Choose your directors and list with their addresses
  5. List authorized number shares and amount per share or choose no par value
  6. Purpose of the corporation
  7. List the Organizer of the corporation (person filing the Certificate of Formation)
  8. Pay the $300 filing fee to the Texas Secretary of State
  9. Sign and date the Certificate of Formation
  10. File online with the Texas Secretary of State through SOSDirect and pay $300 with credit card (fastest) although Fees paid by Credit Card are subject to the statutorily authorized convenience fee of 2.7% of total fees. You can mail the Certificate of Formation into the Secretary of State P.O. Box 13697 Austin, TX 78711-3697 along with a check for $300.
  11. Within 1 to 2 business days you’ll receive an email with a .pdf file attached from the Texas Secretary of State providing the approved certified Certificate of Formation.
  12. Apply for your federal employer identification number with IRS online or by fax
  13. Create a Texas corporation By-Laws and Stockholders Meeting (these do not get filed with Texas Secretary of State’s office)
  14. Take the approved documents to the bank and open a corporate bank account
  15. If you are going to sell taxable goods or services, you’ll need to get a Texas Sales Tax Permit online through the Texas Comptroller of Public Account’s website
